Elsa is an AI assistant application that enables authorised users to ask questions, search and retrieve information from organisation-provided materials (with source references/citations where available), and generate draft outputs. Elsa may also include customer-specific tools, workflows, and integrations as configured for your organisation. These Elsa In-App User Terms (the "User Terms") apply to any individual (the "User" or "you") who accesses or uses the Elsa assistant platform and related features (the "Service"), whether via web, desktop, or any other interfaces.
The Service is provided by BlackFrost Pte. Ltd. ("BlackFrost", "we" or "us"). Your organisation, your employer or the entity that gave you access to Elsa ("Your Organisation"), may also have entered into separate agreements with BlackFrost (the "Customer Agreements"). These User Terms form an agreement between you and BlackFrost about your individual use of Elsa. They do not change the terms of the Customer Agreements between BlackFrost and Your Organisation.
Unless expressly stated otherwise, the User Terms supplement but do not supersede any other prevailing obligations you may have with BlackFrost under the Customer Agreements. If there is any conflict between these User Terms and the Customer Agreements, the terms and conditions of the Customer Agreements shall prevail.
By accessing or using Elsa, you confirm that you have read, understood and agree to be bound by these User Terms. BlackFrost may at any time amend the User Terms upon reasonable notice to you. By continuing to use the Service after such amendment, you will be deemed to have agreed to these amendments.

Who may use Elsa
1.1
You may only use Elsa if:
1.1.1
you are authorised by Your Organisation to do so;
1.1.2
you are at least 18 years old (or the legal age of majority in your jurisdiction); and
1.1.3
you comply with these User Terms and Your Organisation's internal policies.

Your responsibilities
Account use and access
2.1
You will use Elsa only:
2.1.1
for legitimate work-related purposes for Your Organisation; and
2.1.2
will comply with all applicable laws, regulations, and company policies.
2.2
Your access to Elsa is provided through Your Organisation. If Your Organisation disables or limits your account, your access to Elsa will also stop or change.
2.3
There may be circumstances where we may have to temporarily suspend, restrict, or modify access to all or parts of the Service, including but not limited to performing scheduled maintenance, system upgrades, or to address technical issues. Under such circumstances, we shall not be responsible for any inconvenience, loss, damage or injury suffered by the customer or any third party.
Account Security
2.4
You agree that you shall have the responsibility to ensure the security of your account.
2.5
You undertake to keep all account login information secure, including but not limited to personal identification numbers, personal identifiers, biometrics identifiers, digital identifiers, and any other codes and verification procedures, whether set by you or Blackfrost (the "Login Credentials").
2.6
You shall not be permitted to share your account with any third parties. If you discover any unauthorised use or access of your account, or any other security issue that may affect the use of the Service, you shall immediately inform us and Your Organisation. This includes being permitted access to the Service despite not being authorised to do so.
2.7
You shall not access or use the Service through any device, software, or communication method that contains, or is reasonably suspected to contain, any viruses, malware, Trojan horses, or other harmful code. Furthermore, you are prohibited from deploying any tools or malicious components designed to interfere with, disrupt, or compromise the integrity, security, or performance of the Service or its underlying infrastructure.
2.8
You shall not install any malware or viruses that would result in the compromise of your device, account or Login Credentials by any third party.

Acceptable use and prohibited content
3.1
You shall not use Elsa to generate, upload, or process content or activities that:
3.1.1
violate or are intended to encourage the violation of any applicable laws, regulations, or rules in any applicable jurisdiction or the rights of any third parties;
3.1.2
exploit or harm children in any way;
3.1.3
are hateful, harassing, or intended to threaten or seriously harm others
3.1.4
involve malware or attempts to gain unauthorised access to systems or data;
3.1.5
involve attempts to bypass security or access controls of Elsa or any connected system;
3.1.6
are part of fraud, scams, impersonation, or other deceptive practices;
3.1.7
are primarily for explicit adult content or commercial sexual services; or
3.1.8
breach confidentiality obligations or data protection laws (for example, uploading personal data that Your Organisation is not allowed to share).
3.2
You must:
3.2.1
follow Your Organisation's security guidelines when using Elsa (for example, around classified, confidential or sensitive data) and comply with all additional acceptable use rules given by Your Organisation;
3.2.2
not attempt to disrupt, overload or bypass security measures in Elsa; and
3.2.3
not attempt to access data or systems you are not authorised to access.
3.3
If you become aware of a security issue or a potential misuse of Elsa, you should report it promptly to Your Organisation and, where appropriate, to BlackFrost at support@blackfrost.ai.
3.4
You acknowledge and agree that we and/or Your Organisation shall have the right, but not the obligation to, monitor your records and usage for us to improve Elsa and to verify your compliance with the obligations and restrictions under these User Terms.

Data, privacy and logs
Who owns the data
4.1
You acknowledge and agree that all documents, messages, files and other information you submit into Elsa (the "Customer Data"), and the outputs Elsa generates for Your Organisation (the "Output"), are owned and controlled by Your Organisation.
How data is used
4.2
You acknowledge and agree that Customer Data and Output may be:
4.2.1
processed by Elsa to provide responses, search, summaries, workflows and other features;
4.2.2
logged for audit, security, troubleshooting and quality; and
4.2.3
accessed by authorised users within Your Organisation, according to the permissions and configurations set by Your Organisation.
Privacy Policy
4.3
Our handling of personal data (including your account details and activity logs) is further described in the [BlackFrost Privacy Policy], which you should review. Your Organisation may also have its own internal privacy or data policies that apply to you.
Training on Your Organisation's data
4.4
Unless otherwise agreed with Your Organisation in the Customer Agreement, BlackFrost does not use your organisation's Customer Data or Output to train public foundation models for the benefit of other customers. Underlying cloud/model providers are configured so that your prompts and content are not used to train their public models, unless Your Organisation explicitly opts in.
5
AI limitations and your duty to review
5.1
Elsa uses AI models that are probabilistic. Therefore, Outputs can be incorrect, incomplete, outdated or misleading, even if they look confident.
5.2
You acknowledge that Elsa does not and shall not be deemed to give any legal, financial, medical or any other advice in which the provision of professional advice may be regulated in a relevant jurisdiction ("Regulated Advice"), and that you will not rely on any Output for any such Regulated Advice. If you require Regulated Advice, you should seek advice from a qualified professional.
5.3
You agree to:
5.3.1
review and verify outputs before relying on them, especially for important or high-impact decisions;
5.3.2
apply Your Organisation's internal checks, approvals and professional judgement; and
5.3.3
not represent Elsa's outputs as if they were human-generated or make any representations on behalf of BlackFrost as to the veracity of Elsa's outputs.
5.4
Your Organisation shall be responsible for deciding how Elsa is used in your workflows and what level of review is required.
6
Suspension and termination of access
6.1
BlackFrost reserves the right to:
6.1.1
suspend, limit or terminate your access to Elsa if you breach these User Terms, Your Organisation's company policies, or create a security or legal risk to BlackFrost; and/or
6.1.2
remove or block access to specific content where reasonably necessary for security, legal compliance, or policy reasons.
6.2
If your employment or engagement with Your Organisation has been terminated, your access to Elsa will no longer be authorised and your access to Elsa will be removed.

Disclaimers
7.1
To the maximum extent permitted by law, BlackFrost provides the Service on an "as is" and "as available" basis and disclaims all representations and warranties of any kind, express or implied, including without limitation any based on course of dealing, usage or trade practice, and any warranties as to the accuracy or completeness of the Output, and specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
7.2
BlackFrost will not be responsible to you personally for any losses arising from your use of Elsa. Any liability that BlackFrost may have shall be governed by the Customer Agreements with Your Organisation.
7.3
BlackFrost shall not be responsible for any failure or delay in carrying our obligations under the User Terms nor shall it be responsible to you for any action, claim, demand, proceeding, losses, damages, costs or expenses that may be incurred by you in the event of a force majeure, such as natural disasters, strikes, government restrictions, cyber-attacks on the operating systems or equipment of BlackFrost and our service providers or other uncontrollable events.
7.4
BlackFrost shall have no responsibility and shall not be required to monitor the submission of any data by you, Customer Data or generation of Output. You shall bear the sole responsibility in ensuring that the use of any Customer Data and Output complies with the User Terms.
7.5
The Service may incorporate the use of third-party software, products, or services ("Third Party Services"). Third Party Services are subject to their own terms, and BlackFrost shall not be responsible for your adherence to them

Representations and Warranties
8.1
By using the Service, you hereby represent and warrant that:
8.1.1
you have the legal capacity to enter into this agreement;
8.1.2
your obligations under the User Terms constitute legal, valid, binding and enforceable obligations;
8.1.3
you shall not submit into Elsa any Customer Data which may: (i) breach any applicable laws, regulations or rules of any relevant jurisdiction; (ii) infringe any third party rights (including intellectual property rights); or (iii) constitute a breach of any contractual obligations you or Your Organisation may have with any third party;
8.1.4
if required by us, you will provide true, accurate, not misleading, current and complete information to us and undertake the responsibility to maintain and update your information in a timely manner to keep it true, accurate, not misleading, current and complete at all times;
8.1.5
you will not modify, copy, lease, sell or distribute the Service;
8.1.6
you will not attempt to or assist anyone to reverse engineer, decompile or discover the source code, processes or underlying technology of the Service; and
8.1.7
you shall at all times comply with the User Terms.

Indemnities
9.1
You hereby agree to indemnify BlackFrost, its officers, employees and agents from and against all actions, claims, losses, expenses, liability, damage and costs (including reasonable attorney's fees) which may be suffered, sustained or incurred by BlackFrost as a result of any of your breaches of the terms and conditions of the User Terms.

Intellectual Property
10.1
Except as expressly provided for in the User Terms, any software, programmes, code, methodologies, analyses, processes or any other underlying technology developed or owned by BlackFrost (and any associated intellectual property rights such as patent rights, copyright rights, trade secret rights, know-how, and any and all other intellectual property rights) in the provision of the Service will continue to remain the sole property of BlackFrost and nothing in the User Terms shall be taken to be a transfer or assignment of any intellectual property rights of BlackFrost.
10.2
Any rights to the Customer Data, including intellectual property rights, belonging to you or Your Organisation shall remain with you or Your Organisation, as the case may be. To the extent permitted by applicable law, you or Your Organisation may own the rights to the Output.
11
Miscellaneous
11.1
If any of the above provisions are held to be unlawful or unenforceable, such provisions shall be removed and the remainder of the User Terms shall remain in full force and effect.
11.2
A person who is not a party to these Terms shall not be entitled to enforce any of the User Terms under the Contracts (Rights of Third Parties) Act 2001 of Singapore
11.3
The User Terms shall be governed by and shall be construed in accordance with the laws of the Republic of Singapore. In the event of dispute, parties shall submit to the exclusive jurisdiction of the courts of Singapore in respect of all matters relating to the User Terms.
11.4
Nothing in the User Terms shall constitute or create any relationship of partnership, joint venture, agency or representation between the parties. Neither party shall have the authority to represent the other party with respect to a third party, or to bind the other party to any obligation to a third party.
